Membership Agreement
a) This Membership Agreement ("Agreement") was executed on {date} between Mformulations E-COMMERCE INC., the owner of the mformulations.ticimaxeticaret.com website located at Basın Express Yolu Cemal Ulusoy Street No:49 34303 Yenibosna-Bahçelievler / ISTANBUL ("Mformulations" hereafter), and the internet user who becomes a member of the mformulations.ticimaxeticaret.com website ("MEMBER").
- Subject of the Agreement The subject of this Agreement is to determine the terms and conditions of use for the MEMBER to benefit from and use the mformulations.ticimaxeticaret.com website owned by Mformulations.
- Rights and Obligations of the Parties
3.1. The MEMBER agrees and undertakes to comply with all legal regulations while using the mformulations.ticimaxeticaret.com website and not to violate these provisions. Otherwise, all legal and penal liabilities arising therefrom will be solely and exclusively the responsibility of the MEMBER.
3.2. The MEMBER shall not engage in any activity (spam, viruses, trojans, etc.) on the mformulations.ticimaxeticaret.com website that prevents or hinders the use of services by others.
3.3. The MEMBER shall not use the mformulations.ticimaxeticaret.com website in any way that disrupts public order, contradicts general morality, disturbs or harasses others, violates the intellectual and copyright rights of others, or for any illegal purpose.
3.4. The opinions, thoughts, and expressions declared or written by MEMBERS on the mformulations.ticimaxeticaret.com website are solely the personal opinions and comments of the MEMBERS, and the consequences of these opinions and comments are solely the responsibility of the MEMBER. These opinions and thoughts have no connection with Mformulations. Mformulations shall not be liable for any damages that third parties or institutions may suffer due to the opinions and views declared by the MEMBER or for any damages the MEMBER may suffer due to the opinions and views declared by third parties or institutions.
3.5. The MEMBER declares and undertakes that the personal and other information provided while becoming a member of the mformulations.ticimaxeticaret.com website is accurate and agrees to indemnify Mformulations for any damages it may suffer due to the inaccuracy of this information.
3.6. The right to use the password obtained by the MEMBER from the Mformulations website belongs exclusively to the MEMBER. The MEMBER cannot give this password to any third party. The entire legal and penal responsibility for the use of the password belongs to the MEMBER. Mformulations shall not be held responsible for unauthorized persons gaining access to MEMBER data and for any damages that may occur to MEMBER software and data due to the use of the mformulations.ticimaxeticaret.com website. The MEMBER agrees not to claim compensation from Mformulations for any damage that may arise due to the use of the mformulations.ticimaxeticaret.com website.
3.8. The MEMBER agrees not to access or use the information and software of other internet users without permission. Otherwise, all legal and penal responsibility arising from this will belong entirely to the MEMBER.
3.9. The MEMBER acknowledges and undertakes that in case of violation of any of the articles listed in this Agreement, they will be liable for all resulting damages, and will indemnify Mformulations, and keep them free from any damages, lawsuits, claims, and allegations that may arise.
3.10. Mformulations reserves the right to suspend or terminate the MEMBERSHIP of the MEMBER and delete all data, documents, and files belonging to the MEMBER at any time without assuming any liability.
3.11. All intellectual property rights related to the design, software, texts, and visual content of products on the mformulations.ticimaxeticaret.com website belong to Mformulations and cannot be used by the MEMBER without written permission from Mformulations.
3.12. For the improvement and development of the mformulations.ticimaxeticaret.com website and/or within the framework of legal regulations, certain information such as the name of the internet service provider used to access the site, Internet Protocol (IP) address, date and time of access to the site, and the internet address of the website directly linked to the site, can be collected.
3.13. Mformulations has the right to communicate with the USER via letter, email, SMS, phone calls, and other means for communication, marketing, advertising, promotion, notification, and other purposes using the address, email address, landline, mobile phone numbers, and other contact information written by the USER on the website or later updated by the USER. By accepting this agreement, the USER acknowledges and declares that Mformulations may engage in the above-mentioned communication activities unless there is a written notice to the contrary.
3.14. The MEMBER declares and accepts that they allow the collection, use, and archiving of personal and shopping information and shopping and/or consumer behavior information for the purposes stated above within the scope of existing and/or future applications related to product and service promotions, advertisements, campaigns, advantages, surveys, and other
3.15. Mformulations may disclose the MEMBER's personal information (a) if required by the current laws or regulations, a court order, or an administrative order; (b) in cases specified in article 3.13; and (c) with the MEMBER's consent to third parties.
3.16. Mformulations' website has been cleared from viruses and similar malicious software to the extent possible with the existing facilities. However, for ultimate security, the user is responsible for providing their own virus protection system and ensuring necessary protection. In this context, the MEMBER is considered to have accepted that they are responsible for any errors that may occur in their software and operating systems and their direct or indirect consequences by accessing the Mformulations website.
3.17. Mformulations reserves the right to change, modify, suspend, or terminate the content, design, and software of the site, modify any service provided to users, and delete user information and data registered on the website at any time.
3.18. Mformulations may update, modify, or remove the conditions of this Agreement at any time without the need for prior notice or warning. Each updated, modified, or removed provision will be effective for all MEMBERS on the publication date.
3.19. Under this Agreement, Mformulations has the authority to send informational emails to the electronic mail addresses registered by the MEMBERS and informational SMS messages to their mobile phones. By accepting this Agreement, the MEMBER is deemed to have consented to the delivery of informational emails to their electronic mail address and informational SMS messages to their mobile phone. If the MEMBER wishes to stop receiving emails or SMS messages, they can request the cancellation of email and/or SMS delivery by contacting Mformulations Customer Service. The provisions of Article 3.13 are reserved.
4. Termination of the Agreement Each Party may terminate this Agreement at any time by unilateral notification to the other party.
5. Status of Disputes This agreement will remain in force until the MEMBER cancels his MEMBERSHIP or his MEMBERSHIP is canceled by Mformulations. Mformulations may unilaterally terminate the contract by canceling the MEMBERSHIP of the MEMBER if the MEMBER violates any provision of the membership agreement.
6. Status of Disputes Istanbul Central Courts and Enforcement Offices are authorized to resolve all disputes related to or arising from this Agreement.
7. The MEMBER's registration as a MEMBER takes effect when the MEMBER reads and accepts all articles contained in this Agreement. This Agreement has been concluded and entered into force at the time the MEMBER becomes a MEMBER.
